THESE TERMS REQUIRE THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS, AND LIMIT THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF A DISPUTE.

BY USING THE U-CHOCOLATE.COM WEBSITE AND/OR PURCHASING FROM THE WEBSITE, YOU ACCEPT AND ARE BOUND BY THESE TERMS OF SERVICE.

YOU MAY NOT USE THIS WEBSITE OR ORDER PRODUCTS IF YOU (A) DO NOT AGREE TO THESE TERMS, (B) ARE NOT AT LEAST 18 YEARS OF AGE (OR THE AGE OF MAJORITY IN YOUR JURISDICTION, IF GREATER), OR (C) ARE PROHIBITED FROM ACCESSING THIS WEBSITE UNDER APPLICABLE LAW.

These Terms of Service ("Terms" or "Agreement") apply to your purchase and use of products through u-chocolate.com (the "Site") and your general use of the Site and U Chocolate's social media pages ("Social Media Pages"). Please also review our Privacy Policy.

These Terms may be updated by U Chocolate, Corp. ("U Chocolate," "we," "us," "our") at any time without prior notice. Continued use of the Site or purchase of our products after a posted change constitutes your acceptance of the updated Terms.

1. Sales Terms & Refunds

Orders are subject to our acceptance and product availability. All sales are generally final; see our full Refund Policy for details on damaged, defective, or incorrect items.

2. Subscriptions

U Chocolate offers optional recurring subscriptions (monthly, bi-monthly, or quarterly), with associated discounts. We may change subscription pricing or plans with advance notice as described in the "Notices" section below. Continuing your subscription after a price/plan change takes effect constitutes acceptance of that change.

3. Cancel or Modify a Subscription

Subscriptions can be modified or canceled anytime from your account. Changes for an upcoming shipment must be made before the 20th of the prior month.

4. Billing

You are responsible for all activity and charges under your account. By subscribing, you authorize U Chocolate and/or our payment processor to automatically charge your payment method on a recurring basis for the then-current subscription rate, plus applicable taxes and shipping, until you cancel. No additional authorization will be requested for each recurring charge. Amounts already charged prior to cancellation are non-refundable.

5. Shipping & Delivery

We ship via third-party carriers and provide tracking for every order. Delivery estimates are approximate and outside our control. Risk of loss/damage passes to you upon delivery. See our full Shipping Policy.

6. No Resale

Products purchased through the Site are for personal use only. Resale or commercial use of U Chocolate products without our written authorization is prohibited.

7. Force Majeure

U Chocolate is not liable for delays or failures to perform caused by events outside our reasonable control.

8. Registration and Communication

Creating an account requires you to provide accurate information, maintain account security, and notify us of any suspected breach. By creating an account, you consent to receive transactional and, optionally, promotional electronic communications from us. You may opt out of promotional messages anytime. By providing a phone number, you consent to receive calls/texts related to your order, subject to standard carrier rates.

9. Content

All content on the Site and Social Media Pages is provided for informational purposes only and is subject to the disclaimers in these Terms.

10. Intellectual Property

All Site content, design, graphics, and associated materials ("U Chocolate Materials") are owned by or licensed to U Chocolate and protected under U.S. and international IP law. You may view and download content solely for personal, non-commercial use. Modification, redistribution, or commercial use of U Chocolate Materials without written consent is prohibited.

11. Trademarks

"U Chocolate" and related names, logos, and slogans are trademarks of U Chocolate, Corp. or its affiliates. Use without prior written permission is prohibited.

12. Rights to User Content

If you submit content to us (e.g., reviews, photos, social tags), you retain ownership but grant U Chocolate a non-exclusive, royalty-free, worldwide, perpetual, and sublicensable license to use, reproduce, and display that content — including your name and likeness — for any business purpose, including marketing. You represent that any content you submit is accurate, non-confidential, and that you have the right to share it.

13. Third-Party Sites and Content

Links to third-party sites are provided for convenience only. U Chocolate is not responsible for the content, accuracy, or practices of any linked third-party site.

14. Prohibited Use

You agree not to use the Site to: interrupt or damage the Site; infringe intellectual property rights; violate applicable law; reverse-engineer or scrape the Site; access non-public content or systems; or transmit unlawful, harmful, or unsolicited content (e.g., spam).

15. Privacy

Your use of the Site is subject to our Privacy Policy, which governs how we collect and use your Personal Data.

16. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless U Chocolate, its affiliates, and their respective personnel from claims arising out of your misuse of the Site, violation of these Terms, or infringement of another's rights.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, U CHOCOLATE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SITE OR OUR PRODUCTS. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE ONE MONTH PRECEDING YOUR CLAIM. THIS LIMITATION DOES NOT APPLY TO LIABILITY FOR PERSONAL INJURY OR PROPERTY DAMAGE DIRECTLY CAUSED BY OUR PRODUCTS, OR FOR OUR FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT.

18. Dispute Resolution and Binding Arbitration

Disputes not resolved informally will be settled by individual binding arbitration in Orange County, Florida (or your county of residence), under JAMS Streamlined Arbitration Rules, rather than in court or as a class action. You waive your right to a jury trial or to participate in a class action. You may opt out of this arbitration provision within 30 days of your first purchase by written notice to U Chocolate, Corp. at the address below, including your full name and clear intent to opt out. Either party may bring qualifying claims in small claims court.

19. Governing Law & Venue

These Terms are governed by the laws of the State of Delaware. Any dispute not subject to arbitration will be resolved in the state courts of Orange County, Florida, or the U.S. District Court for the Middle District of Florida.

20. Assignment

You may not assign your rights or obligations under these Terms without our prior written consent.

21. Termination

We reserve the right to terminate your access to the Site or ability to order products at any time, for any reason, without liability.

22. No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

24. Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be severed, and the remaining provisions will remain in effect.

25. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and U Chocolate regarding your use of the Site.
